What is the Cross Out Power and How Does It Work?

When you grant a proxy, Alaska law gives you the right to cross out the name of any candidates that you do not want the proxyholders to vote for.  This rule applies whether you are giving a discretionary proxy or a proxy that directs the proxyholder to vote for a specific candidate.  The proxyholders must honor your cross out.

Here is an example.  If a shareholder directs votes to Candidate 1 and crosses out the other two candidates named in the proxy, and Candidate 1 later withdraws, those votes cannot be redistributed to the other two candidates whose names were crossed out.  In other words, those votes “die” when Candidate 1 withdraws because a proxyholder cannot vote for a candidate whose name has been crossed out.
