Due to the confusing, conflicting and misleading social media postings over the past two years, several shareholders have asked about the “Record List” for the 2017 Annual Meeting. The Record List of shareholders is prepared each time certain important corporate activities take place, such as our Annual Meeting. The Record List is simply the paper listing of shareholder name, the number of shares each shareholder owns, and each shareholder’s postal mail address, all as of a specific date and time. This specific date and time is called the “Record Date.”
As an example, the Record Date for the 2017 Annual Meeting was 5:00 p.m., Monday, April 17, 2017. Shee Atiká’s official stock records are maintained electronically and the Record List is prepared by printing the Record List on paper so as to exactly reflect the electronic stock information of shareholder name, shareholder postal address, and number of shares. When the Record List is printed, it is done in compliance with Alaska state law and Shee Atiká’s governing documents.
After the Record List is printed, it is available per Alaska Law for inspection and copying by shareholders during regular business hours for at least twenty days prior to a shareholder meeting and at the meeting itself. Shareholders may make this inspection and copying free of charge. However, if the Record List is copied or scanned by a shareholder then the outcome of these events is subject to the capabilities of the equipment and/or the operator. As an alternative, shareholders may purchase the printed Record List. The choice is up to the shareholder. Any changes, modifications or reformatting of the Record List for the particular needs of a shareholder who inspects and copies the list is the responsibility of the shareholder and not Shee Atiká.
